Terms & Conditions

1. Definitions & Interpretation

• "Company" means SPORTS KARMA LLP, incorporated in Mumbai, India, and registered under the Companies Act / LLP Act of India.
• "Business Day" means any day between the hours of 10:30 AM and 6:00 PM, other than a Saturday, Sunday, or gazetted public holiday in Mumbai, India.
• "Customer Logo" means any logo, sponsor badge, club crest, or artwork provided or requested by the Customer for use on or incorporation into the Goods.
• "Goods" means custom sublimated sportswear, jerseys, shorts, or apparel supplied by the Company to the Customer as itemized in the Order Invoice or Quotation.
• "GST" means Goods and Services Tax payable on taxable supplies under applicable Indian GST rules.
• "Intellectual Property" means all design rights, registered/unregistered trademarks, vector graphics, typography, know-how, and domain names.
• "Quotation" & "Invoice" means the official cost breakdown provided by the Company setting out quantities, sizing, and pricing.

2. Application of Terms

These Terms and Conditions apply to all customized sportswear and related printing services provided by the Company. Acceptance of a quotation, digital checkout submission, or advance deposit constitutes full agreement to these terms, superseding all prior oral or written discussions.

3. Quotation, Price & Payment

• All quotations, including prices and delivery timelines, are valid for acceptance within 30 calendar days from issuance.
• Quoted prices exclude GST unless expressly stated. Applicable GST rates are itemized separately on the invoice.
• For orders under ₹20,000, 100% full payment is due upon final sign-off approval of pre-production digital designs.
• For bulk team orders over ₹20,000, a minimum 50% deposit is required before sublimation production commences, with the remainder payable prior to dispatch.
• Unpaid or overdue accounts attract a 3% per month interest charge calculated daily until settlement.
• Payment via credit card may attract payment gateway processing surcharges as applicable.

4. Order Placement & Production

Orders must be confirmed through our digital customizer checkout or written electronic authorization. Once sublimation printing begins, cancellations are not permitted, and the Customer shall be liable for all material and labor expenses incurred.

5. Delivery, Acceptance & Title

• Risk of loss or damage passes to the Customer upon physical delivery to the shipping destination designated by the Customer.
• The Company retains legal title of all Goods until full payment has cleared in Company accounts.
• The Customer must inspect Goods upon arrival and satisfy themselves that specifications match the approved roster.
• The Company is not liable for indirect transit delays resulting from courier logistical disruption or weather events.

6. Returns, Replacements & Defect Claims

• Should a product arrive damaged or with printing misspelling that deviates from your approved squad roster, you must notify our team within 24 hours of delivery with photographic proof.
• Upon quality team inspection, verified defective garments will be re-printed and replaced free of charge or refunded within 10 business days.

7. Company Branding & Logo

All sportswear produced by Proshield features our standard athletic authenticity branding and logo. Where a client requests complete brand removal (white-label manufacturing), an unbranded surcharge of ₹100 + GST per garment applies.

8. Intellectual Property & Customer Logo Warranty

The Customer warrants that it owns or possesses valid license rights for any logo, sponsor vector, or emblem provided for sublimation printing. The Customer agrees to indemnify and hold harmless SPORTS KARMA LLP against any third-party copyright or trademark infringement claims.

9. Force Majeure

The Company shall not be liable for delivery failures or delays resulting from events beyond its reasonable control, including natural disasters, fabric mill labor strikes, power grid failures, transport blockages, or government restrictions.

10. Governing Law & Jurisdiction

These terms are governed exclusively by the laws of India. Any legal dispute or proceeding arising out of or in connection with this agreement shall be submitted to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
